KC-135 + GE Aerospace

Merlin has described progress integrating on the KC-135 with the U.S. Air Force, and a 23 Sep 2025 joint release with GE Aerospace on an “autonomy core” collaboration naming the KC-135 Center Console Refresh as the first teaming opportunity. The prospectus says the teaming agreement runs 36 months and ends in 2028 unless extended. (GE/Merlin PR 23 Sep 2025 · prospectus)

How it went public

Merlin listed through a SPAC merger with Inflection Point Acquisition Corp. IV (formerly Bleichroeder Acquisition Corp. I). Section 2

Forward thesis

A confident, sourced view. Not investment advice.

Merlin looks one headline away from a clearer public proof point: funded integration and ground test on the C-130J path, or a dated large-aircraft civil-cert milestone that replaces the small-aircraft file it closed.

The company already has a named defense spine (USSOCOM C-130J IDIQ with PDR and CDR done), a large cash balance relative to early revenue, and partners (GE, Textron concept, IAI MOU) that keep it in front of operators and regulators. What remains missing in the public award record, as pulled 4–5 Oct 2026, is a funded successor order after the design-phase task that ended 31 Jul 2026. The prospectus said Stages 3–7 were unfunded as of 13 May 2026. (USAspending · prospectus · 8-K exhibit 13 Aug 2026)

What would prove it

  • A dated, funded C-130J integration / ground-test task order (or clear 10-Q language that Stages 3+ are funded), then flight-test evidence with dates beyond the phrase “closer to deployment.” (Aug earnings framing)
  • A published large-aircraft civil certification milestone (application, issue paper, SOI, or authority schedule) that replaces the retired small-aircraft path. (9 Sep strategy)
  • KC-135 / GE CCR progress that moves from teaming language to a named Air Force award or dated flight-test window. (GE teaming)

What would change the picture

  • Warrant / preferred conversion reset around mid-October 2026 printing at or near the $5.00 floor, expanding potential dilution math already visible in the resale registrations. (Q2 10-Q warrant note)
  • Lockup overhang continuing to trade after the 16 Sep 2026 First Round and sponsor distributions. (Forms 4 / 13G/A filed 18 Sep 2026)
  • Another PIPE or equity raise before either the defense or civil path prints hard evidence, against Q2 losses and material-weakness disclosures. (Q2 10-Q)
  • Silence on the USSOCOM vehicle while the ordering window runs toward 6 Apr 2029, or a civil-cert stall after the 9 Sep pivot with no successor milestone for multiple quarters.

What would break it

  • Stop-work or multi-quarter silence on the USSOCOM vehicle with no integration funding visible. (IDIQ end date)
  • Civil cert stall after the 9 Sep pivot: large-aircraft strategy announced, then no successor milestone. (9 Sep note)
  • Cash burn that forces a distressed raise before either path prints hard evidence (Q2 showed heavy losses against $183.6M cash). (Q2 10-Q)
How to read this. “One headline away” means the next primary disclosure could re-rate how the market prices the process. There is no promised next headline, and this brief does not forecast price or give buy/sell advice.
